Terms of Service (ToS)

Version 1.0. Effective January 1, 2026.

This Terms of Service Agreement (“ToS”) apply if you use the systems, software, platform, APIs and use and/or purchase our products and services (collectively “Services”) directly or indirectly from Cuspar GmbH (“Cuspar”). YWT (Your Web Tech) is Cuspar’s customer portal and service management platform. Our Services, accessible via YWT, include but are not limited to domain name registration and management services, website hosting services, and other related services as described on YWT website (“Website”).

In this Agreement, the terms “Cuspar” “we,” “us,” or “our” shall refer to Cuspar GmbH. The terms “you,” “your,” or “Customer” shall refer to any individual or entity who accepts this Agreement and/or uses the Services. This Agreement is in addition to any specific terms and conditions that apply to the particular Services.

Cuspar may modify this Agreement and the Services it offers to you from time to time and such modifications are effective immediately upon posting to the YWT website. We may notify you upon such modifications if required by law. Your continued use of the website and/or the Services constitutes your agreement to this Agreement as last revised.

1. Account

You must create an account to use our services. You are solely responsible for maintaining, securing, updating, and keeping strictly confidential all login IDs and passwords, and for all access to and use of your account by you or any third party. You represent and warrant that all information you provide at the account creation and during your use of our Services is accurate, current and complete.

You shall notify Cuspar immediately in case of any breach of security or unauthorized use of your account. We will not be liable for any loss you incur due to unauthorized use of your account. You may be liable for any loss we or others incur caused by your account. We may suspend or terminate your account in case of unauthorized use of your account and charge processing and/or administrative fees for our time invested in relation to said matter regardless of whether or not we return or reinstate your account.

You can cancel your account at any time. Our Services to you ends upon the cancellation of your account. You are responsible for the transfers and/or deletions of the domains registered via our Services and/or the websites hosted by Cuspar. Cuspar is not liable for your loss caused by the cancellation of your account if any.

Cuspar may suspend or terminate your account upon your breach of this Agreement, illegal use of our Services, and non-payment for our Services. Cuspar is not liable for your loss in such cases.

2. Fees and payments

Cuspar’s current fee structure is available on the Website. Cuspar reserves the right to change or modify its prices and fees at any time. Such changes and modifications are posted online on the Website and are effective immediately without the need for further notification. If you have purchased the Service(s) for a period, such as for one year, changes or modifications in prices and fees shall be effective when the Service(s) in question come up for renewal. Our current payment methods include credit card.

At the purchase and renewal of our Services that you select, you agree to pay prior to the effectiveness of the Services, the applicable fees. All fees are non-refundable, in whole or in part, even if the Services provided to you is suspended, cancelled or transferred prior to the end of your then current registration term, unless this Agreement specifically provides for a refund.

If Cuspar is unable to charge your chosen payment method for the full amount owed for the Services provided, or if Cuspar is charged a penalty for any fee previously charged to your payment method, you agree that Cuspar may pursue all available lawful remedies in order to obtain payment.

You agree that the remedies Cuspar may pursue in order to effect payment include, but not be limited to, suspension of Services, cancellation of domain names registered through our Services, and/or suspension of access to any and all accounts you have with us and/or your primary service provider; and that all rights to and interest in and use of any domain name registration(s) services, website hosting, and/or email services, including all data hosted on our systems shall be suspended or blocked by us until outstanding payments are resolved. Your rights to and control over these Services shall be reinstated at our discretion and subject to our receipt of the unpaid fee(s) and our reinstatement fee, currently set at 150 CHF (Swiss Franc).

If a chargeback occurs from your credit card company or a similar action by another approved payment provider related to your payment for any Services, you agree that Cuspar may suspend your access to all accounts you hold with us and/or your primary service provider. In such cases, all rights, interests, and usage of any domain name registrations, website hosting, and/or email services, including all data hosted on our systems, will be suspended or blocked until outstanding payments are resolved. Your rights to and control over these Services shall be reinstated at our discretion and subject to our receipt of the unpaid fee(s) and our reinstatement fee, currently set at 150 CHF (Swiss Franc).

Should Cuspar perform outside the normal scope of its Services, and/or additional time and/or costs is incurred in providing the Services, and/or you conduct noncompliance with this Agreement, Cuspar reserves the right to charge you reasonable “administrative fees” or “processing fees”. Typical scenarios include, but are not limited to, customer service issues that require additional personal time or attention, fees incurred by third-party payment providers, fees incurred as the result of chargebacks or other payment disputes brought by you, your bank, or a Payment Method processor, and disputes that require accounting or legal services.

Renewal, expiration, and deletion rules for domain names are governed by the Domain Registration Agreement. Renewal, expiration, and deletion rules for website hosting are governed by our Website Hosting Agreement.

3. Prohibited use

You shall use the Website and our Services responsibly and legally at your full responsibility and comply with all applicable federal, local and international laws and regulations. You shall not use the Website and our Services for any purposes that is unlawful or prohibited by this Agreement.

You may not damage, disable, overburden, disrupt or impair our Website, our Services, our servers, or our APIs. You may not attempt to gain unauthorized access to our Website, Services, servers, and computer systems, and accounts of other customers. You may not collect or harvest any customer content or non-public or personal identifiable information about any other customer or entity without express permission. You may not use our Website and/or Services to transmit viruses, Trojan horses, worms, time bombs, corrupted files, or any other similar software or programs. You may not use our Website or Services to host, publish, transmit, or otherwise facilitate illegal or harmful content, including but not limited to illegal pornography, illegal gambling operations, counterfeit goods, financial or investment scams, spam or bulk‑email services, botnets or DDoS command‑and‑control infrastructure, or any other activity that violates applicable law or poses a threat to public safety or network security. Your use of our Website and Services shall not cause harm to Cuspar or other customers.

Cuspar generally does not pre-screen user content. However, Cuspar reserves the right in its sole discretion to block user content hosted via our Services that is unlawful, harmful, or in violation of this Agreement, such as (1) content involving child abuse or human trafficking, (2) content that infringes intellectual property rights, (3) content that reveals private sensitive information, promotes violence or terrorism, or intends to defraud the public, and (4) content that seeks to spread malware, phishing, or otherwise constitutes technical abuse.

Cuspar reserves the right to suspend or terminate your account and our Services to you upon your unlawful use of our Website and/or Services or your breach of this Agreement. Paid fees will not be refunded. We are not responsible for ensuring you receive third‑party legal notices. We will comply with any court order unless you notify us upon your entering an objection procedure or having legal grounds to refuse such court order.

4. Intellectual property

All elements of the Website and the Services provided by Cuspar are protected by all relevant intellectual property and proprietary rights and applicable laws. These elements include but are not limited to the design, visuals, graphics, data, computer code, products, and software. All materials contained in the Website and our Services are the property of Cuspar. You may not make use of the elements or materials unless expressly authorized by Cuspar.

You retain rights to your own content you uploaded to our system or hosted via our Services.

5. Artificial Intelligence restrictions

You may not use automated bots to access, scan, scrape, data‑mine, copy, or otherwise utilize any materials or content available on our Website for the purpose of developing, training, fine‑tuning, or otherwise contributing to or enhancing any machine learning model or artificial intelligence system.

Such automated activity is permitted only if the bot’s user agent is expressly authorized in the Website’s robots.txt file, and if the bot is used exclusively for identifying bots employed for AI‑related purposes.

This exception does not apply to user agents that serve multiple functions, including but not limited to search engine indexing in addition to AI‑related uses.

6. Termination of use

We may suspend or terminate your access to our Services at any time at our sole discretion. We reserve the right to change, modify or discontinue the Website and/or our services at any time without notice to you. We will have no liability for any issues or losses that might arise as a result of the change, modification or discontinuation of the Website and/or our Services, or of the suspension and termination of your access to our Services.

7. Indemnity

You are responsible for your use of the Services, and you agree to defend, indemnify, and hold harmless Cuspar and its employees, agents, and contractors from any claims, losses, damages, liabilities, costs, or expenses including reasonable attorneys’ fees that arise from or relate to your use of the Services, your breach of these Terms or applicable laws, your violation of any third‑party rights, any content or data you provide or publish through the Services, any disputes between you and third parties, and any negligence or misconduct by you or anyone using your account. If a claim falls within this indemnification, Cuspar may choose to assume control of the defense at its own expense, and you agree to cooperate fully and provide any information or support reasonably requested. Cuspar may also require written confirmation of your indemnification obligations, including financial assurances if needed, and failure to provide such confirmation constitutes a breach of these Terms. This indemnification obligation survives termination of your account or this Agreement.

8. Liability

Cuspar will always do our best to provide reliable services to our customers and will announce planned maintenance in advance when possible, but some things are beyond our control. By using our Website and our Services, you agree that we are not liable for (1) service interruptions or downtime, including domain name registration, (2) delays or problems accessing our website or your domain, (3) issues caused by events beyond our control, (4) data errors such as loss, corruption, or delays, (5) unauthorized use of your account and/or passwords, (6) processing your domain registration or applying dispute policies. You also agree that we are not liable for indirect or special damages (including lost profits) regardless of the causes and reasons. Our total liability will not exceed the amount you paid for the affected Service during the last 12 months.

9. Disclaimers of warranties

All services are provided to you “as is” and “as available” and with all faults. Cuspar has no obligation for monitoring or controlling content or data appearing on the Website and our Services. Your use of the Website and the Services is at your own discretion and risk. We do not make guarantees about our services or offer warranties such as fitness for a particular purpose or merchantability, unless such guarantees or warranties are not legally excludable.

This Agreement does not limit our liability for gross negligence or willful misconduct to the extent required by Swiss law.

10. General

This Agreement together with our Privacy Policy, Domain Name Registration Agreement, Website Hosting Agreement, and other applicable notices or limits presented to you on our Website constitutes the understanding and agreement between you and Cuspar regarding your use and access to our Website and Services. You may not transfer your rights or this agreement to someone else without our prior written consent. Cuspar may assign these Terms at any time without notice. The failure of us to require your performance of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by us of a breach of any provision hereof be taken or held to be a waiver of the provision itself. If any part of this agreement is held to be invalid, only that part is limited or removed; the rest of this Agreement remain in full force and effect. This Agreement is written in English. Should this Agreement be provided in other languages, the English language version prevails. This Agreement is governed by Swiss substantive law. The exclusive place of jurisdiction is the courts of the Canton of Zurich, Switzerland.
